RAFFLE AGREEMENT

This Raffle Agreement ("Agreement") is entered into as of [Date] by and between America Helping America, a non-profit organization duly organized and existing under the laws of [State], having its principal place of business at 4 Tuscan blvd Salem, NH 03079 ("Organization"), and [Participant], an individual residing at [Address] ("Participant").

WHEREAS, America Helping America is a non-profit organization dedicated to fostering compassion and community support by addressing critical needs such as food insecurity, animal welfare, neighborhood safety, homelessness, women's shelters, and veterans. Our mission is to empower individuals and communities across the nation through collaborative efforts that create positive, lasting impact, promoting a stronger, more compassionate America for all.;

WHEREAS, Participant wishes to participate in a raffle conducted by Organization for the purpose of fundraising;

WHEREAS, Organization is conducting a raffle for the prize of a Dodge Charger Hellcat ("Prize");

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Raffle Entry:a. Participant agrees to purchase raffle tickets from Organization at the price listed below.b. The purchase of raffle tickets does not guarantee winning the Prize.

2. Eligibility:a. The raffle is open to legal residents of United States of America who are 18 years of age or older at the time of entry.b. Directors, officers, employees, and agents of Organization, as well as their immediate families, are ineligible to participate.

3. Prize:a. The Prize for the raffle is a Dodge Charger Hellcat.b. The Prize is transferable and can be exchanged for cash in the amount of $25,000.

4. Drawing and Notification:a. The winner of the raffle will be determined by a random drawing conducted by Organization.b. The drawing will take place online on the following day of reaching the fundraising goal in the amount of $150,000.c. The winner will be notified by phone and or email within 3 days of the drawing.

5. Acceptance of Prize:a. The winner must accept the Prize within 10 days of notification.b. Failure to accept the Prize within the specified time frame will result in forfeiture, and Organization may conduct a new drawing to select an alternate winner.

6. Taxes and Fees:a. Participant acknowledges that they are responsible for any applicable taxes, fees, or other charges associated with winning the Prize.b. Organization will not be responsible for any taxes or fees associated with the Prize.

7. Release and Indemnification:a. Participant releases and discharges America Helping America, its officers, directors, employees, and agents from any and all claims, demands, and liabilities arising out of or in connection with the raffle.b. Participant agrees to indemnify and hold Organization harmless from any losses, damages, or expenses, including reasonable attorney fees, incurred as a result of Participant's participation in the raffle.

8. Governing Law and Jurisdiction:a. This Agreement shall be governed by and construed in accordance with the laws of New Hampshire.b. Any dispute arising out of or in connection with this Agreement shall be resolved exclusively through arbitration in Salem, New Hampshire in accordance with the rules of the American Arbitration Association.

9. Entire Agreement:a. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
